Summary
The Legal Contracts Specialist is responsible for reviewing (redlining) and negotiating transactional contracts (Government, Private Sector, and International) as well as long-term strategic contracts. Contracts vary in value from zero-dollar transactions to $50,000,000 strategic engagements. The Legal Contracts Specialist will review contracts and other legal documents for inconsistencies with FMD Legal Department’s standards, templates, and guidance from FMD Leadership. Additionally, the Legal Contracts Specialist will negotiate contracts and other transactions with suppliers, customers, and other outside stakeholders. Negotiations are usually performed via Teams, Zoom, or through email. Some in-person negotiations and travel are required but are infrequent. The Legal Contracts Specialist will report to the Director of Legal, who is the primary source of work, but the Legal Contracts Specialist will also receive work requests via a Contract Management System as well as from other business stakeholders. The Legal Contracts Specialist is an essential part of the FMD Legal Team serving as the right-hand of the Director of Legal.
Principle Duties and Responsibilities
  • Review/redline Purchase Orders, Master Agreements, proposals and other documents containing legal terms and conditions.
  • Monitor the Contract Management System daily for new Legal requests.
  • Provide guidance and advice to business stakeholders.
  • Coordinate reviews between Compliance, IT, Supply Chain, Sales and other internal stakeholders who will have input on contract language.
  • Negotiate with suppliers, customers, and other legal stakeholders to accomplish the goals established by the Director of Legal.
  • Job Duties are:
  • 50% reviews/redlines
  • 25% negotiation
  • 15% providing guidance to internal stakeholders
  • 10% travel
Qualifications and Educational Requirements
  • J.D. or equivalent experience (recent J.D. graduates with contracting experience are encouraged to apply).
  • Experience with a variety of contracts (Government, Private Sector, and International).
  • High attention to detail.
  • Strong negotiation skills.
  • Ability to communicate effectively with everyone from entry-level professionals to C-Suite Executives.
  • Experience with a Contracts Management Software – or an ability to learn complex software quickly.
  • Strong sense of humor. We work hard and we a laugh hard.
