Role Summary :
As a Corporate and Securities Paralegal, you will be an integral part of our client's legal team, providing essential support in crafting and executing various business and securities transactions.
This role is tailored for a detail-oriented individual who can navigate complex legal matters to facilitate significant business growth for our clients.
Key Responsibilities :
- Assist in managing and coordinating transactional deals, including M&A and private securities offerings.
- Collaborate closely with attorneys to structure and execute complex transactions.
- Support attorneys in navigating the legal aspects of transactional and securities law, providing valuable assistance and strategic input to clients.
- Coordinate and manage corporate filings, registrations, and "blue sky" filings in connection with securities offerings.
- Maintain corporate records, draft corporate resolutions, and prepare materials for board meetings.
- Conduct legal research and analysis on various business law issues including securities regulations and corporate governance.
- Other responsibilities as assigned,
Qualifications & Experience :
- Bachelor’s degree and / or paralegal certificate from an accredited institution.
- Minimum of 5 years of experience working as a corporate paralegal, with substantial experience in securities and transactional corporate law, preferably in a law firm environment.
- Strong proficiency in legal research and drafting with meticulous attention to detail.
- Ability to manage multiple tasks efficiently in a fast-paced environment while maintaining a client-centric approach.
- Proficiency in Microsoft Office suite and experience making filings through EDGAR and FINRA.
