Job Objective: This is an exciting role in a growing company. The ideal candidate for the Associate General Counsel position is someone who can ensure that Epirus operates within the law at all times, offers counsel on legal issues, serve as an effective guardian of the organization and facilitate business development and fast-paced innovation. The successful candidate will be able to manage the impact of external factors and limit risk exposure. Above all, the Associate General Counsel must have the ability to foster confidence and trust with the executive team, the Board, and internal clients at all levels within the organization, and a passion for the important work of our mission.

Duties:

  • Developing and leading the corporate legal strategy, embracing opportunities while balancing risk and ensuring compliance with applicable legal and regulatory scheme
  • Responsible for overseeing all legal matters pertaining to the organization, including patent, copyright, intellectual property and employment law matters and the coordination of any legal matters handled by outside counsel
  • Develops functional plans for managing legal matters, including activities to be performed in-house or through third-party relationships to best manage the company's legal activities and minimize risk for the business
  • Operates as a trusted thought partner working closely with the CEO, the Executive Leadership Team, and Board of Directors to contribute to business strategy, operations and innovation
  • Sets internal governance policies and manages the impact of external factors
  • Evaluating and weighing multiple inputs and impacts of any decision or course of action
  • Plan and implement internal policies and procedures
  • Ensuring compliance with local, state, and federal laws and regulations
  • Advising the Board on corporate governance matters, preparing and maintaining Board minutes, resolutions, policies and other corporate records
  • Working across the business to provide deep legal expertise structuring transactions, initiatives, and partnerships while demonstrating a commitment to client service, practical business judgment and the ability to build strong, collaborative relationships both internally and externally

Required Qualifications:

  • Juris Doctor's degree with solid academic credentials required
  • 5 years legal work experience in commercial contracts, intellectual property matters, product (ideally hardware) development and technology transactions, including at a law firm and/or in-house experience with technology companies
  • Admitted to the bar and in good standing or otherwise authorized to practice law in at least one U.S. state, preferably California
  • Strong client counseling skills, excel at developing deep partnerships in creating and executing go-to-market strategies, and ability to draft and negotiating complex strategic partnerships
  • Experience advising clients in structuring complex product development strategies and commercial transactions
  • Excellent leadership and negotiating skills required
  • Extensive background in drafting and negotiating services agreements, sales agreements, licenses, custom development, and intellectual property agreements
  • Professional ethics
  • Excellent judgment and analytical skills
  • Demonstrated proficiency in advising senior executives in legal and business matters
  • US Citizen and/or Permanent Resident (future clearance may be required)

As required by the Equal Pay Transparency Act, Epirus provides a reasonable range of minimum compensation for roles that may be hired. Actual compensation is influenced by a wide array of factors including but not limited to skill set, level of experience, and specific office location.

For the state of California only, the range of starting pay for this role is:

$229,000—$324,000 USD
