Job Description:

A prominent national law firm is currently seeking an Employee Benefits and Executive Compensation attorney with 4-6 years of experience. The title and hours for this position are flexible, and remote work options are available.

The ideal candidate will possess substantial expertise in all facets of employee benefits and executive compensation counseling, particularly in guiding benefits and compensation matters within mergers, acquisitions, and divestitures.

Key responsibilities include:

- Conducting research on tax and ERISA issues impacting retirement plans, welfare and fringe benefit plans, compensation arrangements, and executive agreements and plans.

- Monitoring statutory and regulatory changes and advising clients on effective compliance strategies.

- Assisting with due diligence, review of purchase agreements, plan terminations, and benefits integration in corporate transactions.

- Drafting employment agreements, equity and phantom equity incentive arrangements, and transaction bonus agreements.

- Handling IRS and Department of Labor correction program filings.

Preferred experience includes knowledge of ESOPs, multiemployer plan withdrawal liability, and Internal Revenue Code Section 409A compliance.
