Direct Counsel is Hiring a Contract Administrator Near Los Angeles, CA

Direct Counsel is looking for Contract Administrator for an In-House position with a great Company located in Los Angeles, CA. Ideal candidates will have a minimum of two years of either corporate Contract Administrator or Corporate Paralegal experience.

POSITION SUMMARY: The Contract Administrator will assist with a variety of contract matters, including drafting, reviewing and revising legal documents. The Contract Administrator will also provide significant support in commercial contracts, governance, and intellectual property, and partnerships, including project management associated with diligence. In addition, responsibilities will include assisting the Legal Team with legal research and policy development, preparation of NDA's, records management and other administration processes and maintenance of contract forms and routine corporate records.

ESSENTIAL JOB FUNCTION:

  • Entity formation, dissolution, periodic entity maintenance. Order entity books. Obtain EIN. Filing online renewals upload and set reminders in contract database.
  • NDA review, redline [to make mutual] and finalize for all business units.
  • Sales Representative (Broker) Agreements – working with sales and marketing and finance. Distributor Agreements – working with beverage unit.
  • Regulated licensing – wine and spirits. New applications and renewals. Collaborate with Baril Compliance and SW&S for price postings and DTC shipments and taxes. Tax Bond renewals. Commercial contracts/agreements – first level analysis
  • Manage the contract database program. Upload and populate key milestones and deliverable and set reminders. Save also to the electronic folder on the “L” drive
