  • Act as legal lead on the acquisition and sale of solar energy facilities and battery energy storage systems at all stages of development, construction or operation. Work with finance team to structure and plan M&A transactions. Draft and negotiate transaction documents including purchase and sale agreements, disclosure schedules, and other ancillary documents.
  • Work directly with outside lenders, tax equity investors, project buyers and sellers and other business partners to negotiate commercial issues.
  • Coordinate diligence efforts on both project finance and M&A transactions, working closely with the company's finance and development teams.

Other Responsibilities

  • Manage internal paralegals to support transactions and contract negotiations.
  • Manage outside legal counsel, as needed, to facilitate project finance and M&A transactions and development efforts.
  • Engage with internal executives, Investment Committee and Board of Directors, and external investors and corporate lenders, in support of approving and executing transactions and key contracts.
  • Use legal background to serve as a sounding board and counselor to assist other team members in solving the problem of the day.
  • Collaborate regularly with other members of the legal team to help solve issues on their deals and contracts.

Requirements

  • J.D. from accredited law school and current license to practice.
  • Minimum 5 years of experience with a law firm or in-house legal department.
