Job Description:

As a Senior Manager in Crowe's Washington National Tax Office, you will have the opportunity to:

  • Advise internal and external clients on tax and structuring considerations related to complex partnership transactions including partnership mergers, acquisitions, divisions, recapitalizations and restructurings
  • Perform quantitative numerical analysis to facilitate critical business decisions related to transaction alternative planning
  • Identify and propose remediation for historical partnership allocation and disclosure issues arising during due diligence or compliance review
  • Assist in consulting related to complex partnership structures (Umbrella Partnership C Corporation ("Up C") offerings, tax receivable agreements, tax equity partnership structures including hypothetical liquidation at book value (HLBV) calculations, partnership recapitalizations and partnership mergers)
  • Implement qualitative consultation related to transaction and partnership legal documents (e.g. Operating Agreement, Contribution Agreement, Purchase Agreement)
  • Assist in the development and presentation of partnership taxation training to meet the firm's internal CPE requirements

Qualifications

  • Licensed CPA or J.D
  • Prior experience with the Internal Revenue Service and/or the IRS Office of Chief Counsel is a plus
  • A minimum of five years of experience in Federal Tax and/or M&A experience in a public accounting firm, a corporate tax department, or a law firm, focusing on partnership taxation
  • Knowledge of a broad range of corporate tax matters in various industries
  • Ability to execute and lead multiple engagements and client service teams
  • Excellent skills in Excel with the ability to build flexible numerical analysis (e.g. partnership 704(b) & 704(c) allocations, 743(b) adjustments, 752 liability allocations)
The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Crowe, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $146,160 to $233,840.
