QUALIFICATIONS

There are clear precedents and practices which the incumbent uses to determine how this job is performed. This position requires a minimum of seven years of relevant work experience. This position requires a background in corporate secretary’s duties, a thorough knowledge of the functioning of the Board, including the scheduling and procedures used in conducting meetings and the responsibilities of each of the Board committees.

A paralegal or CPS certification is preferred.

ESSENTIAL JOB RESPONSIBILITIES

  • Perform general administrative duties such as correspondence, maintaining calendars, scheduling meetings, completing corporate forms as required, preparing monthly expense reports, process incoming mail, ordering office and kitchen supplies as needed, etc.
  • Initiate and prepare call, notice or waiver of notice, agenda, minutes, and other subsequent correspondence in connection with meetings of the Board, shareholders, and subsidiaries.
  • Coordinate all logistics for management meetings.
  • Coordinate all logistics for the board meetings.
  • Organize and coordinate offsite Board meetings as directed.
  • Prepare Board agenda items as required and coordinate with Assistant to CEO to finalize all meeting materials.
  • Draft minutes of all Board meetings of Holdings and its subsidiaries, as well as oversee the preparation of Committee minutes and their review process.
  • Maintain and provide formatting guidelines for all Board and Committee meeting minutes and materials, as well as train employees responsible for these items as necessary.
  • Prepare packets for new Board members and distribute completed forms in a timely manner as necessary to Human Resources and Shareholder Services.
  • Process Board member expense reimbursements and update meeting attendance list that will periodically be provided to HR.
  • Act as custodian of corporate records, documents, minute books, and the Company seal for Holdings and all its subsidiaries.
  • Administer/Maintain the Nasdaq Boardvantage Board portal in conjunction with corporate secretary staff.
  • Maintain lists of directors, officers, and committees of Holdings and its subsidiaries, as well as history files of Board dates of appointments, retirements, etc.
  • Maintain an index of approved resolutions
  • Research minutes and corporate documents as requested.
  • Assist in providing corporate administration, e.g., incorporation, qualifications, charter amendments, bylaws revisions, corporate governance document revisions, Investor Relations website revisions, etc.
  • Act as point of contact for travel requests using the Company plane. 
  • Answer data and affiliate report requests as required.
  • Perform related duties and responsibilities as assigned.
  • Regular and predictable attendance is a condition of employment and is an essential function of the job.

SALARY DETAILS

$82,321 - $123,481
