The position will work closely with the General Counsel, Assistant General Counsel, and key business leaders, and will play a critical role in managing and implementing the Legal Department’s technology tools and internal processes to drive efficiency and results.

The Legal Operations & Contracting Specialist is responsible for many of the Legal Department’s day-to-day operations, and helps to ensure that the department’s workflows and priorities remain aligned with the needs of the business and its customers. This role will play a critical role in designing, implementing, and managing the department’s internal processes and systems, with a particular focus on contracting and information-management processes and related technology tools and platforms, to promote efficiency and productivity. The role will also support the Legal Department’s contracting function by assisting with drafting, review, and negotiation of client contracts, and by collaborating with internal stakeholders and subject matter experts as part of that contracting process. The Contract Analyst/Legal Operations Manager will report to the Vice President, Associate General Counsel, but will also work closely with the General Counsel and key business leaders.

Position Responsibilities:

  • Support the Legal Department in developing and implementing efficient systems, workflows, processes, and procedures to maintain alignment with business priorities as the company grows.
  • Manage the Legal Department’s existing technology tools and contract/information-management processes, and identify, implement, and manage new tools and processes, to increase overall efficiency and productivity. This includes:
    • Managing contract lifecycle management (CLM), document-management, and other project-management applications, tools, and processes to optimize quality and timeliness of legal work product and other deliverables.
    • Training and supporting key stakeholders on those applications and tools, both individually and through self-help resources, to ensure buy-in and going-forward adherence to best practices.
    • Ensuring adherence to other contracting processes such as internal review-and-approval, signature-authority, and distribution workflows.
    • Driving and tracking key performance indicators (KPIs) and other metrics for the Legal Department, and generating related reports.
  • Manage intake of requests for legal support and work product, prioritize and assign tasks to team members, and track progress and deadlines.
  • Collaborate with internal teams in sales, client account management, proposal management, underwriting, compliance, operations, privacy, IT, and finance groups, to ensure timely communication and completion of legal deliverables.
  • With support of Legal Department colleagues, prepare first drafts of client contracts and amendments, and respond to client questions and/or contract redlines by drafting replies, approving edits or proposing alternate language, and communicating with internal subject matter experts to address client’s issues.
  • Drive other strategic and operational initiatives with on-time and on-budget results.
  • Assist with budget matters and other special projects and responsibilities.
  • Responsible for adherence to the Capital Rx Code of Conduct including reporting of noncompliance.

Minimum Qualifications:

  • B.A. or B.S. required
  • 3 years of experience with legal project operations/management
  • Strong experience in developing, implementing, and using legal-department technology solutions (e.g., contract lifecycle management (CLM), document-management, and matter-management programs, as well as e-signature tools)
  • Proven track record of collaborating with cross-functional groups (e.g., finance, operations, sales, IT)
  • Ability to work both independently and as part of a team in a fast-paced environment, while successfully managing multiple projects to completion
  • Excellent analytical, problem-solving, and verbal and written communication skills
  • Ability to think strategically and identify inefficiencies, develop long-term solutions, and challenge and improve existing processes through automation and redesign
  • Attention to detail and commitment to delivering high-quality work product in a customer-focused environment
  • Demonstrated proficiency with Microsoft Office products and Adobe Acrobat Pro

Preferred Qualifications:

  • Prior health care, pharmacy benefit management (PBM), and/or software-as-a-service (SaaS) experience preferred
  • Prior experience with Salesforce platform preferred
  • Paralegal experience/certificate preferred

Base Salary: $90,000 - $120,000
