We are seeking a skilled Corporate Counsel to join our team on a part-time basis. This remote position provides the flexibility to balance your professional and personal commitments. Occasional onsite presence is needed for critical meetings, approximately once or twice a month in Watsonville, CA.

Position Title: Corporate Counsel

Employment Status: Part-Time - Exempt

Department: Human Resources

Reports to: Vice President of Human Resources

Summary Description

The Corporate Counsel is a key member of the organization, providing legal counsel, regulatory and legal analysis, drafting & negotiating contracts & leases, corporate governance, and risk management. The role is broad in nature and supports matters that are across the organization.

Essential Job Duties/Responsibilities

  • Draft, review, and negotiate a wide range of contracts, including vendor agreements, leases, service agreements, licensing agreements, and other legal documents. Estate planning for ownership.
  • Provide legal guidance and support to internal departments on various business transactions, partnerships, ventures, etc
  • Advise on company governance items, such as board meetings, compliance, policies, and procedures
  • Stay abreast of laws and regulations pertaining to the organization to effectively advise on the impact and actions needed
  • Advise on matters related to intellectual property and contracts
  • Analyze and advise on matters related to legal risks including mitigation steps & strategies
  • Work with outside counsel on complex legal matters, litigation, and special projects
  • Develop internal company knowledge around legal compliance and risks for improved leadership and staff decision making
  • Conduct investigations
  • Other duties as assigned

Qualifications

  • Juris Doctor (JD) from an accredited law school
  • Admitted to the bar in California and in good standing
  • 5 years of experience practicing law, with a focus on corporate matters, contract law, and regulatory compliance
  • Strong understanding of corporate governance principles and best practices
  • Excellent drafting and negotiation skills with attention to detail
  • Understands and articulates what may or may not fall under attorney client privilege
  • Ability to analyze complex legal issues and provide practical solutions
  • Effective communication and interpersonal skills to effectively and clearly communicate complex legal matters, with the ability to interact confidently with stakeholders at all levels of the organization
  • Proven ability to manage multiple projects and priorities in a fast-paced environment
  • High level of integrity, professionalism, and commitment to upholding ethical standards
  • Ability to raise legal concerns in an effective manner

Preferred Qualifications

  • Experience in Agriculture
  • Experience acting as in-house / corporate counsel, including estate planning
  • Experience and understanding of Mexican Law

Job Type: Part-time

Pay: $75,000.00 - $100,000.00 per year

Expected hours: 20 per week
