Senior AGC Procurement and Finance

We are seeking an experienced renewable energy attorney with expertise in major equipment procurement and project financing to join our lean and dynamic team. The Senior Associate General Counsel will primarily support battery and solar equipment procurement and LTSAs and a variety of project and corporate financings during a period of rapid company growth. The candidate must be experienced in supporting the execution and finance of renewable and/or energy storage projects.

Responsibilities: 

  • Perform and oversee complex legal services for the development, acquisition, financing, construction and operation of utility-scale energy storage and hybrid renewable projects;
  • Serve as legal lead on major procurement and finance matters and directly assist other departments as needed;
  • Work closely with internal commercial and technical stakeholders in crafting equipment supply (and related services) contracting structures and terms tailored for project opportunities;
  • Assist the finance team in all major areas of executing project and corporate financings, including assessing the structure of the financing, reviewing transaction documentation, and ensuring that transactions comply with corporate policies and precedent standards;
  • Enhance internal transaction processes and contract templates for efficiency and compliance;
  • Facilitate legal support for cross-functional teams, focusing on regulatory compliance and strategic legal positioning;
  • Interface and negotiate directly with suppliers, EPCs, operators, and other counterparties as needed;
  • Oversee and manage external counsel in a wide range of matters;
  • Identify and succinctly communicate material risks and proposed solutions to Aypa’s General Counsel and other executives and team leads;
  • Other duties as assigned or required.

Key Qualifications:

  • JD from an accredited law school;
  • Active bar licensure in at least one US jurisdiction;
  • 10 years of post-qualification experience, with demonstrated experience in procurement and financing in the renewable energy or energy storage industry;
  • Experience supporting FERC, NERC and other regulatory compliance preferred;
  • Expertise in (i) equipment procurement matters, including supply agreements, long-term service agreements, trade restrictions, and safe harboring, and (ii) project/portfolio and corporate financing matters, including debt, tax equity and ITC adders;
  • Expertise in EPC and supply matters, including engineering, procurement and construction agreements, O&M and long-term service agreements, equipment procurement, supply agreements and purchase orders, and safe harboring;
  • Additional experience supporting renewable and energy storage offtake agreements, M&A, and/or regulatory compliance preferred
  • Strong computer skills, including Word, Excel, and PowerPoint proficiency;
  • Excellent organizational and planning skills with meticulous attention to detail;
  • Exceptional written and verbal communication skills;
  • Strong interpersonal and diplomatic skills;
  • Highest standards of ethics and integrity.

Compensation and Location: 

Salary:  A base salary commensurate with experience.

Bonus: An annual bonus will be awarded based on both individual performance as well as the overall success of the business.
