AVMA is Hiring an AVMA Trust Head of Legal Services Near Schaumburg, IL
The American Veterinary Medical Association (AVMA) Trust is seeking a Head of Legal Services (HLS) to join our team headquartered in Schaumburg, Illinois, a northwest suburb of Chicago. AVMA Trust provides professional liability insurance, life and disability coverage, financial services, as well as other important benefits to the over 105,000 members of the AVMA. Structured to work for its members, AVMA acts as a collective voice for its membership and for the veterinary profession. AVMA’s mission is to lead the profession by advocating for our members and advancing the science and practice of veterinary medicine to improve animal and human health. The Trust furthers AVMA’s mission through the protections and services offered to AVMA members.The HLS will oversee the legal affairs of the Insurance Agency, AVMA PLIT, AVMA LIFE, AVMA Trust and its related entities and direct the work of outside Counsel. This role involves serving as a trusted business advisor while providing legal counsel to the CEO, Trustees, and other senior management. The HLS will assist in establishing internal governance policies and manage the impact of external factors working closely with the CEO, the Trustees and senior management.The HLS must possess strong initiative, excellent project management skills, insurance knowledge across professional liability, commercial and life products, as well as strong leadership skills, and strong business acumen. A Juris Doctor (JD) and an applicable state license to practice law is required. General Counsel experience and an MBA is preferred.The HLS will be responsible for:
Developing and leading the Trust’s legal strategy to promote and protect the entities' matters.
Overseeing and aligning the delivery of legal services and resources to accomplish corporate goals, strategies, and priorities.
Maintaining proper corporate interactions with the relevant local, state, and federal governmental bodies, legislatures and the community at large.
Advising the CEO and other senior corporate officers on a variety of issues.
Directing the activities of outside counsel retained by the Trust, while advising the CEO and the Board of the status of those activities.
Participating in the formulation of general strategy as a member of the executive management team.
Providing oversight for developing and leading internal audit and corporate compliance programs and other relevant policies. Ensure that all AVMA Trust entities are properly licensed and complying with federal and state insurance regulations.
Acting as the Recording Secretary of all Board meetings and the preparation of all meeting minutes.
Working with AVMA Trust leadership, external advisors and third-party vendors, develop a comprehensive risk management strategy that successfully navigates complexity while mitigating risk regarding all current and future programs including but not limited to Risk Purchasing Groups, Captives and Self-Funding arrangements.Head of Legal Services Abilities:
Analyze and interpret legal and business issues and prepare legal opinions
Develop and implement legal and business strategies and solutions
Communicate and interact with government and regulatory officials (ex: DOIs)
Strong contract negotiating and excellent drafting skills
Proficient in conducting legal research
Supervise and train employees, including organizing, prioritizing, and scheduling work assignments as needed
Supervise and coordinate the work of other legal professionals (if any), paraprofessionals (if any), and outside counsel as needed
Provide competent legal advice and counsel to CEO on a wide range of legal and policy issues
Presentation development and delivery
Foster a cooperative work environment
Head of Legal Services Knowledge:
Insurance law and contract law
Legal documentation procedures and requirements
The judicial system and procedures
Current and developing legal issues and trends in insurance, corporate, regulatory and corporate governance law
Institutional policies and procedures, as well as the regulatory environment within which they operate
Financial/business analytical techniques and strategies
The range of applicable laws and regulations that impact on all facets of Trust business policy and operations, including but not limited to all insurance licensing requirements.
Community legal resources
Employment, including hiring and termination law procedures
Education and Experience RequirementsCandidates for the chief legal officer role should have, at minimum, the following degrees and credentials.
J.D. from an American Bar Association accredited law school; at least 10 years of experience directly related to the duties and responsibilities specified. Member of the Illinois State Bar in good standing, or member in good standing of another state bar or the District of Columbia with the willingness to matriculate in IL and DE.
General Counsel experience preferred
MBA preferred
Completed degree(s) from an accredited institution that are above the minimum education requirement may be substituted for experience on a year for year basis.
