Position Summary:

The Associate General Counsel is responsible for leading corporate strategic and tactical legal initiatives. The General Counsel provides senior management and others with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The General Counsel is directly involved in complex business transactions and in negotiating critical contracts.

Duties and Responsibilities:

Law Related:

• Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
• Serves as lawyer/legal advisor on major business transactions, including acquisitions, divestitures and joint ventures.
• Judges the merits of major court cases filed against or on behalf of the company, works with appropriate executives to define a strategic defense and approves settlements of disputes where warranted.
• Assumes responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations.
• Structures and manages the company’s internal legal function and staff
• Oversees the selection, retention, management and evaluation of all outside counsel.
• Advises on the current and future business structures and legal entities.
• Other duties as determined

Preferred Requirements:

• 1 year of general counsel experience
• MBA preferred

Minimum Qualifications:

Juris Doctor (J.D.) from four-year college or university.

Language Skills:

Ability to read, analyze, and interpret company procedures/policies, general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.

Mathematical Skills:

Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, and volume. Ability to apply concepts of basic algebra and geometry.

Ability to work with mathematical concepts such as probability and statistical inference, and fundamentals of plane and solid geometry. Ability to apply concepts such as fractions, percentages, ratios, and proportions to practical situations.

Reasoning Ability:

Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form.

Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables.

Certificates, Licenses, Registrations:

Maintains a valid Driver’s License.
