The Role

As a member of the M&A services team, Senior Associates participate in advising and consulting clients on issues related to tax efficiency, benefits and risks of potential transitions and issues related to corporate and partnership transactions. Seniors will be responsible for the preparation and review of analysis to assess the federal and state tax consequences of transactions and tax integration of acquired enterprises, as well as managing the work product of Experienced Associates on various engagements.

Senior Associates in the M&A services practice will gain experience in advising clients on a number of transaction tax considerations, including analysis of buyer and seller historical tax positions and attributes, the preparation and presentation of tax due diligence reports, modeling various structuring alternatives, and computing tax cost and benefits associated with proposed transactions.

M&A service team members will also assist clients with post-transaction integration matters, including purchase price allocation and tax amortization calculations, IRC Section 382 studies, Earnings and Profits calculations, transaction cost analyses, and other Subchapter C and Subchapter K tax matters.

Senior Associates must possess strong technical knowledge of corporate and partnership issues and transactional considerations. Senior Associates interact heavily with management on a day-to-day basis and are expected to assist Managers in identifying and researching various client issues, and regularly communicate with clients. M&A service team members also assist the corporate tax group during periods of downtime, assisting various client service teams with general corporate tax matters, including tax compliance and ASC 740.

The Requirements

  • Master's of Taxation (or equivalent) or Juris Doctorate degree required
  • Accounting, Finance, Economics or related degree preferred, minimum GPA of 3.0;
  • Advanced credential required, allowing for client representation before the Internal Revenue Service (i.e. CPA or JD);
  • At least 2 years relevant work experience, preferably with an international accounting firm;
  • Knowledge of M&A practices preferred, including corporate, private equity, and tax integration;
  • Knowledge in the areas of Subchapter C and Subchapter K transactional issues, consolidated federal tax returns, IRC Section 382, Earnings and Profits, purchase price allocations and basis step-up calculations, Subsidiary Stock Basis and transaction costs (preferred);
  • Strong leadership, multitasking and organizational skills;
  • Excellent communication skills, both written and verbal;
  • Ability to interact with, and gain respect of, all levels of internal and client personnel;
  • Excellent problem-solving and analytical skills;
  • Self-starter with the initiative to seek out opportunities and ability to work successfully in a fast-paced, high-pressure environment; and
  • Proficient use of technology including MS Excel

Our firm offers competitive base compensation, benefits package, and a discretionary employee bonus program for eligible employees based on individual and firm performance metrics per the defined program guidelines. For individuals hired to work in Seattle, the expected salary range for this role is $78,200 to $111,200; the actual salary offer can vary based upon employee qualifications.

We offer paid time off, beginning at 160 hours annually and provides twelve paid holidays throughout the calendar year. Compensation: In addition to competitive base compensation, our firm offers annual discretionary bonuses based on firm and individual performance, a discretionary long-term cash incentive program, and other forms of discretionary compensation that would be offered to the hired applicant in addition to their established salary range scale.
