Position Summary

The Legal Assistant will provide administrative and paralegal assistance to three corporate/transactional

attorneys supporting several of Costco’s business units, including merchandising (commercial

transactions for retail goods), home improvement, e-commerce, information technology, information

security, and IT vendor management. This position will focus on procurement and commercial

transactions and business operations, not litigation or corporate governance or securities matters.

Job Duties/Essential Functions

● Reviews and revises commercial, technology transactions, procurement, and other template

agreements under attorney direction.

● Prepares correspondence and legal documents, including settlement agreements and contract

termination notices.

● Assists with information security incidents, including maintaining incident logs and coordination of

working group matters.

● Reviews confidentiality agreements/non-disclosure agreements (NDAs) and manages the NDA

process for the Legal Department.

● Completes research on matters as they arise, including legal questions, member issues, and due

diligence.

● Works on special projects as necessary, such as modernizing internal processes or handling

business escalations.

● Communicates heavily by phone and email with internal Costco clients and outside counsel.

● Intakes and refers legal matters to other counsel inside and outside of Costco when responsible

attorneys are unavailable.

● Tracks compliance issues and follows up with responsible persons across several departments;

logs transactions and events into Costco tracking and compliance tools.

● Prepares correspondence, documents and presentations; takes responsibility for proofreading,

formatting, consistency and accuracy on time-sensitive, high-profile documents.

● Reviews, codes, and processes outside counsel invoices for payment, including verification

against Costco’s outside counsel policies; communicates with outside counsel and internal legal

team members to resolve issues.

● Prepares budget reports for each period, quarter, and year; tracks monthly expenditures to

budget.

● Makes travel arrangements and prepares expense reports.

● Establishes and maintains paper and electronic files and filing systems.

● Assists attorneys with CLE (continuing legal education) and payment of annual

Experience, Skills, Education & Licenses/Certifications

Required:

● Significant experience as a legal secretary/legal assistant/paralegal in a law firm or in-house legal

department.

● Strong familiarity with contracting processes and commercial contracts.

● Proven and reliable ability to maintain confidentiality in all legal matters.

● Proactive attitude, high engagement, and a strong interest in learning.

● Proven ability to stay calm and congenial, and to adjust positively to changes in direction and/or

assignment.

● Advanced skills using Microsoft Office suite, Google tools, Adobe Acrobat, and Foxit

PhantomPDF.

● Strong attention to detail and interpersonal skills with an emphasis on written and verbal

communication.

● Well-organized, able to identify and prioritize tasks, excellent troubleshooting skills, and ability to

successfully manage multiple projects.

● Ability to make sound critical decisions and accept personal responsibility for those decisions.

Recommended:

● Knowledge of Costco or similar consumer retail and/or e-commerce business operations.

● Experience drafting and reviewing contracts.

● Technology transactions background and/or technical aptitude.

● Relevant experience in an in-house legal department.

● High School Diploma or GED preferred; paralegal certificate.
