Position Summary:
We are searching for an exceptional General Counsel to lead our legal team and provide strategic legal support across all facets of our business. This pivotal role requires a versatile legal expert with a robust background in corporate law, keen transactional acumen, and a proven track record in managing complex legal challenges. As our General Counsel, you will play a critical role in steering the company through our growth trajectory as a start-up through maturation. The ideal candidate will possess a unique blend of hands-on, tactical skills in a lean environment while also maintaining a strategic mindset.
Key Responsibilities:
Legal Leadership: Provide authoritative legal guidance on corporate governance, compliance, and regulatory matters to ensure the company’s operations are legally sound and strategically aligned.
Transactional Expertise: Lead and oversee all major transactions, ensuring rigorous legal review and alignment with company objectives.
NDA Management: Skillfully draft, review, and manage Non-Disclosure Agreements to safeguard the company’s confidential information.
Litigation Oversight: Direct and manage all litigation activities, leveraging external counsel as needed to protect the company’s interests.
Investment Support: Deliver comprehensive legal support for investment activities, including due diligence and deal structuring to facilitate strategic growth.
Corporate Secretary Duties:
• Serve as the official recipient of the service of process.
• Act as the secretary for all subsidiaries, ensuring meticulous compliance and documentation.
• Provide robust support to the Board of Directors (BOD), including maintaining accurate meeting minutes and essential documentation.
IP and Patent Management: Oversee the protection and management of the company’s intellectual property portfolio, ensuring robust defense of our innovations.
Security and Trade Compliance: Ensure stringent adherence to security protocols and trade regulations, mitigating risks and ensuring compliance.
Contract Excellence: Expertly draft, review, and negotiate contracts, including complex government contracts, ensuring favorable terms and compliance.
IT Department Leadership: Oversee and guide the IT department, ensuring alignment with legal and security standards to support operational excellence.
Qualifications:
Education: Juris Doctor (JD) degree from an accredited law school
Experience: Minimum of 15 years of experience in corporate law, with a strong preference for experience within a start-up environment

This compensation and benefits information is based on Lyten’s estimate as of the date of publication and may be modified in the future. We generally do not negotiate on salary once we have made an offer. The level of pay within the range will depend on a variety of job-related factors that may include location, relevant prior experience and/or education, or particular skills and expertise. New hires joining the company tend to be paid within the starting base pay range noted above, with opportunities to increase pay over time based on development of additional skills, competencies, and company-specific knowledge.
In addition to base pay this position is eligible for tier based bonus and equity, healthcare, dental, vision, corporate discounts, paid holidays, PTO and sick time, 401K, employee relocation plan (if applicable)
