Position Overview:

We are seeking a highly skilled and experienced In-House Counsel to join our dynamic team at our SaaS technology company. As the In-House Counsel, you will be responsible for providing expert legal advice and guidance on a wide range of legal matters to support our business operations. You will play a crucial role in ensuring legal compliance, managing risks, and protecting the company's interests. This is an excellent opportunity for a motivated attorney with a strong background in technology and SaaS to contribute to the growth and success of our organization.

Responsibilities:

1.Legal Compliance: Stay updated with relevant laws, regulations, and industry standards to ensure compliance with all applicable legal requirements, including data protection, privacy, intellectual property, and contract law.

2.Contract Negotiation and Drafting: Review, draft, and negotiate a variety of contracts, including software licenses, service agreements, vendor contracts, and partnership agreements, ensuring they accurately reflect the company's interests and comply with legal requirements.

3.Intellectual Property Protection: Develop and implement strategies for protecting the company's intellectual property, including trademarks, copyrights, and trade secrets. Conduct due diligence on IP matters and oversee the management of patent and trademark portfolios.

4.Risk Assessment and Mitigation: Identify and assess legal risks associated with business activities and provide proactive advice and solutions to mitigate those risks. Develop and implement policies, procedures, and training programs to promote legal compliance and risk management across the organization.

5.Regulatory and Compliance Matters: Assist in responding to inquiries and investigations from regulatory authorities. Develop and implement compliance programs and policies to ensure adherence to applicable laws and regulations.

6.Dispute Resolution: Manage and oversee legal disputes and litigation matters, including engaging external counsel when necessary. Provide guidance and support to internal stakeholders on dispute resolution strategies and potential legal implications.

7.Corporate Governance: Ensure compliance with corporate governance requirements and support corporate secretarial functions, including board meetings, minutes, and related documentation.

8.External Legal Counsel Management: Coordinate and manage relationships with external legal counsel, including budgeting, fee negotiations, and engagement for specialized legal matters.

9.Legal Research and Analysis: Stay informed about legal developments and industry trends impacting the company's operations. Conduct legal research and analysis to provide timely and accurate advice to internal stakeholders.

10.Training and Education: Conduct training sessions and educational programs for employees on legal and compliance matters to promote awareness and understanding of legal issues relevant to the business.

Qualifications:

1.Juris Doctor (JD) degree from an accredited law school.

2.Active member of the Bar in good standing.

3.Minimum of 10 years of experience practicing law, with a focus on technology, SaaS, or related areas.

4.In-depth knowledge of technology law, intellectual property, data protection, privacy, contract law, and regulatory compliance.

5.Experience in negotiating and drafting a variety of commercial contracts.

6.Strong analytical and problem-solving skills with the ability to assess legal risks and provide practical solutions.

7.Excellent communication and interpersonal skills, with the ability to explain complex legal concepts to non-legal stakeholders.

8.Proven ability to work collaboratively in a fast-paced, dynamic environment and manage multiple projects simultaneously.

9.Attention to detail and ability to work autonomously, taking ownership of legal matters from start to finish.

10.Prior experience working in a SaaS or technology company or a mortgage company is highly desirable.
