Position: Real Estate Attorney

Job Pay: $200,000 to $250,000

Job Type: Full Time/ Exempt

Department: Legal

Report to: CEO.

Location: Diamond Bar, CA

Business Hours: Mon- Fri, 9 am – 6 pm

Job Overview: We're seeking a full-time Real Estate Attorney to join our dynamic team at Ono Hawaiian BBQ. This role demands meticulous attention to detail and the ability to thrive under pressure. You'll have the chance to collaborate with a dedicated and hard-working team, fostering skill expansion and knowledge growth.

As a Real Estate Attorney, you'll oversee and manage all legal matters regarding real estate leases, purchase and sale transactions, and existing portfolio of leases and properties for Ono Hawaiian BBQ and various developments. You will review, draft, and negotiate various aspects of leases and purchase transactions, as well as the corresponding due diligence and compliance matters. Additionally, you'll support other corporate departments by interpreting existing leases and documents and resolving related issues related to real estate. You'll collaborate closely with the Construction Department to support the development process and compliance. Further, you will review, draft, and negotiate contracts, licenses, and agreements for vendors, service providers, and lenders.

Responsibilities include but not limited to:

• Oversee all legal matters regarding real estate lease, purchase and sale transactions, and portfolio.

• Set standards for leases and purchase and sales agreements.

• Review, draft, and negotiate documents for lease transactions.

• Review estoppel certificates, subordination, non-disturbance agreements, amendments, and addendums for existing leases.

• Review, draft, and negotiate settlement agreements.

• Manage purchase and sale transaction processes from inception to closing of escrow.

• Draft, review, and negotiate purchase sales agreements.

• Conduct due diligence to ensure that the organization’s interests are protected and that all requirements are satisfied, including but not limited to satisfying title objections and corresponding policies, environmental conditions, surveys, and governing documents.

• Drafting, reviewing, and negotiating governing documents such as operating, reciprocal access, easement agreements, restriction agreements, etc.

• Work with other corporate departments to answer questions regarding existing leases and real estate documents and resolve any disputes.

• Review transaction and development requirements for project entitlement and construction projects.

• Prepare lease abstracts and transaction summaries.

• Ensure compliance with real estate regulations.

• Review, draft, and negotiate contracts and commercial agreements with vendors, service providers, and lenders.

• Oversee outside counsel.

Requirements and Qualifications:

• Licensed to practice law in California (additional state license(s) ideal)

• Juris Doctor (J.D.) from a top-tier U.S. law school

• Minimum ten (10) years of experience in complex real estate transactions, commercial leasing, and construction in California and Arizona.

• Subject matter expert in real estate law.

• Excellent negotiation, contract drafting, and communication skills – written and verbal are required.

• Ability to work independently, with some supervision, on complex transactions.

• Demonstrated ability to evaluate risk and to exercise sound legal judgment.

• Ability to influence and provide real-estate support for the company.

• Must be team-oriented and able to work in a fast-paced environment with a solution-oriented approach to legal issues.

• Self-motivated and able to communicate complex concepts and issues effectively with all levels of management.

• Able to multi-task and work quickly and collaboratively under tight deadlines.

• Highly organized with the ability to effectively manage outside counsel.
