Job Summary:

As a Corporate Paralegal at C & S Management, you will play a vital role in providing comprehensive legal support to our General Counsel, with a focus on corporate matters. You will have the opportunity to work closely with internal teams and stakeholders to ensure corporate governance, compliance, and facilitate smooth corporate transactions. Responsibilities:

  • Provide comprehensive legal support to General Counsel, focusing on compliance with state and federal employment laws.
  • Assist in drafting and reviewing corporate documents, such as articles of incorporation, bylaws, board resolutions, and shareholder agreements.
  • Provide legal support on mergers and acquisitions, tax compliance, insurance and risk management issues, and other corporate matters.
  • Assist in monitoring and ensuring compliance with employment-related policies and procedures.
  • Conduct legal research on corporate and commercial law matters, including relevant regulations and best practices. Analyze and summarize findings to support legal advice and decision-making processes.
  • Assist in the review, drafting, and management of contracts and agreements, ensuring compliance with legal and regulatory requirements.
  • Facilitate effective communication and coordination between internal and external teams and relevant stakeholders. Serve as a point of contact for legal inquiries and maintain strong working relationships.
  • Provide administrative assistance to the General Counsel, including managing calendars, scheduling meetings, and preparing legal reports and presentations.

Requirements:

  • Bachelor’s degree in Paralegal Studies, Law, or a related field. Paralegal certification is required.
  • 3 years of experience as a corporate paralegal.
  • Strong understanding of corporate law principles, entity formations, corporate governance, and compliance requirements. Familiarity with relevant laws and regulations pertaining to the industries in which C & S Management operates (agriculture, petroleum, propane, farming, and construction) is advantageous.
  • Excellent written and verbal communication skills.
  • Demonstrated ability to work independently and as part of a team.
  • Strong analytical and problem-solving skills.

Preferred qualifications:

  • Experience working with mergers and acquisitions.
  • Experience providing legal advice to companies in multiple industries.
