Contracts Manager

Summary/Objective:

Cal Solar Inc. is looking for a construction-experienced Contracts Manager that has experience leading a team with complex, high-volume, multi-phase, engineering & construction contracts that Cal Solar Inc. is negotiating & entering. A successful Contracts Manager will have a broad spectrum of responsibilities, from reviewing, drafting, revising and negotiating contracts & change orders, monitoring contract performance and compliance, creating & managing an automated operationalized contract oversight process to managing workflow, and assembling training materials. The position will coordinate and review contractual documents, and coordinate with external clients, legal counsel, internal accounting team, Controller and Project Management teams to ensure compliance with Cal Solar Inc.’s established guidelines. The main responsibility for the Contracts Manager is to mitigate contractual risk for the company.

Essential Functions:

  • Review, revise, draft, and negotiate a wide variety of contracts, including non-disclosure agreements, LOIs, Engineering, Procurement, and Construction agreements, subcontract agreements, engagement letters, service agreements, referral agreements, supply agreements, ancillary documentation, and other supporting documentation.
  • Support the Company’s growth by implementing and/or maintaining systems, processes, and procedures covering the contracting life cycle from origination to deployment, including:
  • Managing and maintaining the library of template forms, fall-back provisions and other relevant information
  • ensuring proper internal approvals are received for contract deviations that arise during negotiation
  • ensures contract terms and conditions are consistent with internal policies and goals
  • create and maintain reports tracking contract status, volume, processing times and other operational metrics
  • maintaining Cal Solar Inc. archive of all fully executed contracts
  • Work cross-functionally with Sales, Estimating, Operations, Accounting, Engineering, Procurement, Construction, Service, Labor Compliance, Marketing, and other internal stakeholders in connection with all of the foregoing
  • Coordinate with customers, vendors and internal personnel to process contracts and change orders in a highly accurate and timely manner
  • Ability to identify language that contradicts the company's standard terms and conditions.
  • Respond to vendors’ attempts to alter Cal Solar Inc.’s contract documents and, if needed, determine the appropriate internal authority for approval of any changes.
  • Track internal & vendor insurance certification termination dates
  • Review internal & vendors’ certificates of insurance to verify compliance with customer & Cal Solar Inc. contract terms
  • Self-manage, organize, and prioritize a continuous flow of incoming projects & contracts
  • Work with outside legal counsel to review & redline client-form agreements
  • Identify contractual issues and suggest appropriate action to ensure satisfactory resolution
  • Participate as a member of the negotiating team to establish terms and conditions for contracts and suggest alternative clauses to the client for consideration
  • Monitor contract statuses and work with Project Teams & clients to obtain executed agreements
  • Oversee the renewal & filing of all active Certificates of Insurance, maintaining compliance with existing contracts
  • Coordinate with insurance broker to resolve coverage issues
  • Develop & conduct training for Project Teams in order to achieve consistent practices and procedures across all Organizations
  • Work with leadership to implement a contract lifecycle management platform
  • Participate in strategic planning – lead improvements in the Contracts group, identify resource needs and provide growth opportunities to current team members.
  • Track status of contracts from intake to execution; share and track information with external and internal customers.
  • Provide regular updates to internal stake holders regarding contracts currently in queue.
  • Maintain a streamlined contract review process to ensure reviews are performed in a timely manner
  • Evaluate and propose improvement to contract review process when needed.
  • Meet with clients or vendors, either in person or by conference call to discuss contract hang-ups or positioning.
  • Assemble final execution documents and obtain appropriate signatures.

REQUIREMENTS

  • 5 years’ experience working in a contracts department within the construction, architecture, engineering or other related industry with progressively increasing responsibility; including experience leading a team
  • Experience with Ironclad contracts management software a plus
  • Bachelors' degree in business, accounting, finance or a related discipline preferred
  • Certified Professional Contract Manager (CPCM) certification preferred
  • Paralegal certification is preferred
  • Experience redlining professional services agreements, and reviewing and negotiating contracts documents
  • The ability to thrive in a fast-paced environment and manage multiple deadlines
  • Excellent communication and customer service skills, written and verbal, are essential
  • Excellent oral and written communication skills, including familiarity with common legal terminology
  • Exceptional organization skills, strong self-motivator with high attention to detail
  • The ability to independently prioritize and manage multiple tasks while satisfactorily meeting deadlines and desired outcomes
  • Strong interpersonal skills, ability to work with individuals at all levels of the organization in a positive, collaborative manner

The starting annual base pay for this role is between USD $105,000 and $125,000. The actual base is dependent upon many factors, such as: location, training, transferable skills, work experience, business needs and market demands. The base pay range is subject to change and may be modified in the future.
