ustwo is seeking a dedicated strategic and visionary Non-Executive Director to join our Board in New York. This role requires a commitment of 2 days per month for a 3 year term and we are looking for an individual based in the US, ideally close to our New York studio who is available to travel for board meetings when required.
Reporting directly to the Chair, the ideal candidate will provide independent oversight and constructive challenge to the executive team, helping to shape the strategic direction and governance of the company. This role requires a deep understanding of the digital product landscape, strong leadership skills, and the ability to provide guidance on corporate governance and business strategy.
As a Board Member you will:
  • Strategic Oversight: Contribute to the development and oversight of the company's strategic direction, ensuring alignment with market opportunities and company objectives.
  • Governance: Ensure that the company operates within the highest standards of corporate governance, compliance, and ethical practices.
  • Performance Monitoring: Monitor the performance of the executive team and the company, providing independent advice and feedback.
  • Risk Management: Identify and assess potential risks to the company, contributing to the development of risk management strategies.
  • Stakeholder Engagement: Build and maintain strong relationships with key stakeholders, including shareholders, clients, and partners.
  • Mentorship and Support: Provide mentorship and support to the executive team, drawing on industry experience and best practices.
  • Financial Oversight: Review and provide input on financial plans, budgets, and performance reports, ensuring the company's financial health and sustainability.
  • Innovation and Trends: Stay abreast of industry trends and innovations, providing insights that can help the company stay competitive and forward-thinking.
  • Specialist Knowledge: Utilise your specialist knowledge to provide valuable insights on strategy, client growth, and scaling the business.
  • Objective Contributions: Offer objective, constructive, and informed contributions, providing advice and guidance based on your external expertise.
  • Challenge Decisions: Constructively challenge proposed Board decisions to ensure appropriate scrutiny in all circumstances.
  • Collaborative Culture: Collaborate with the Chair, C-suite, and other Board members to foster a culture of visionary and innovative thinking, acting on and promoting ideas within the organisation.
  • Proposal Development: Assist in developing proposals on priorities and risk mitigation.
Necessary Experience, Skills, and Attributes:
  • Extensive experience in agency, product, and innovation sectors.
  • Proven track record of mentoring CEO-level individuals.
  • Experience in business turnaround and scaling up operations.
  • Strong grounding in US business practices and experience in working with a global company.
  • Excellent commercial acumen with robust industry networking capabilities, enabling business development and recruiting opportunities for the studios.
  • Demonstrated ability to constructively challenge and provide effective oversight of company strategy and its development.
  • Proven ability to identify and address long-term opportunities and issues.
  • Experience in enhancing diversity within organisations.
Nice to Haves:
  • Experience working in an employee-owned company.
  • Familiarity with B Corp certification and practices.
Time Commitment:
  • The Non-Executive Director is expected to attend quarterly board meetings, annual strategy sessions, and other meetings as required.
  • Estimated time commitment: 10-15 days per year.
