We are seeking an experienced Associate General Counsel to serve as a key member of the Legal Department, providing practical, business-focused legal guidance to a rapidly growing physician practice organization focused on value-based primary care. Reporting to the Chief Legal Officer & General Counsel, this attorney will advise executive and operational leaders on healthcare regulatory matters, commercial transactions, Medicare Advantage operations, provider contracting, healthcare marketing, and risk management initiatives. The successful candidate will partner closely with Compliance, Operations, Clinical Leadership, Finance, Growth, Human Resources, Information Technology, and Population Health teams to support the organization's continued growth and success.


The ideal candidate combines sophisticated healthcare regulatory knowledge with strong commercial drafting and negotiation skills and enjoys working in a fast-paced, operational environment where legal advice must be practical, actionable, and aligned with business objectives.


Key Responsibilities

Healthcare Regulatory Counseling

Provide day-to-day legal advice regarding:

  • Medicare Advantage
  • Traditional Medicare
  • Medicaid
  • Value-Based Care arrangements
  • CMS regulations and guidance
  • Stark Law
  • Anti-Kickback Statute
  • Civil Monetary Penalties Law
  • HIPAA and healthcare privacy requirements
  • Florida healthcare regulations
  • Provider enrollment matters
  • Delegated risk arrangements
  • Managed care operations
  • Corporate practice of medicine requirements
  • Physician employment matters
  • Scope of practice issues
  • Fraud, waste, and abuse concerns

Advise business leaders on healthcare compliance obligations while developing practical solutions that support organizational objectives and mitigate legal risk.


Medicare Advantage & Health Plan Legal Support - Serve as legal advisor to business teams supporting:

  • Medicare Advantage growth initiatives
  • Risk adjustment programs
  • RAF/HCC documentation initiatives
  • Care management programs
  • Quality and Stars initiatives
  • Value-based reimbursement arrangements
  • Delegated payer relationships
  • Health plan operational matters
  • CMS audit readiness activities
  • Medicare marketing compliance
  • Agent and broker relationships
  • Provider education and outreach initiatives
  • Beneficiary communications
  • Enrollment-related legal matters

Provide legal guidance to support the organization's evolving relationships with health plans, delegated entities, and provider networks.


Commercial Contracting - Draft, negotiate, review, and advise regarding:

  • Vendor agreements
  • Technology agreements
  • Software-as-a-Service (SaaS) agreements
  • Professional services agreements
  • Business Associate Agreements (BAAs)
  • Master Services Agreements (MSAs)
  • Statements of Work (SOWs)
  • Provider agreements
  • Independent contractor agreements
  • Marketing agreements
  • Consulting agreements
  • Data sharing agreements
  • Population health vendor agreements
  • Artificial intelligence and technology contracts

Support contract lifecycle management while balancing legal protections with operational and business needs.


Corporate Legal Support -Provide legal support related to:

  • Board and committee materials
  • Corporate governance matters
  • Entity management
  • Legal and compliance policies
  • Legal research and analysis
  • Employment-related matters
  • Litigation management
  • Outside counsel oversight
  • Due diligence activities
  • Mergers and acquisitions integration support
  • Regulatory investigations
  • Government inquiries and audits

Assist in developing scalable legal processes and governance structures that support organizational growth.

Required Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active state bar license in good standing; Florida licensure preferred or ability to obtain Florida licensure.
  • Minimum of 5-7 years of legal experience.
  • Significant healthcare law experience.
  • Experience supporting physician organizations, health plans, managed care organizations, or integrated delivery systems.
  • Strong commercial contracting and transaction experience.
  • Excellent drafting, negotiation, and issue-spotting skills.
  • Experience advising senior executives and business leaders.
  • Strong business judgment and practical problem-solving abilities.
  • Excellent written, verbal, and interpersonal communication skills.
  • Ability to effectively manage multiple priorities in a fast-paced environment.
