The attorney will provide expert legal guidance on a variety of corporate and real estate matters, advising clients on business formation, governance, fiduciary obligations, mergers and acquisitions, and real estate transactions. Key Responsibilities
- Advise clients on corporate matters, including business formation, organizational structure, fiduciary duties, corporate governance, and transaction structuring (mergers, acquisitions, and dissolutions).
- Draft and review entity formation documents such as articles of incorporation, bylaws, partnership agreements, shareholder agreements, and operating agreements.
- Draft, review, and negotiate contracts and agreements, including purchase and sale agreements, leases, options, deeds, mortgages, and other real estate documents.
- Advise clients on matters involving Land Court and related proceedings.
- Maintain up-to-date knowledge of relevant laws, regulations, and industry trends.
- Develop and maintain strong client relationships, ensuring high-quality service and responsiveness.
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the Hawaii State Bar.
- Minimum of 5 years of experience in real estate and corporate law.
- Strong writing, analytical, and problem-solving skills.
- Excellent oral and written communication skills.
- Ability to manage multiple tasks, meet deadlines, and handle complex transactions.
- Commitment to providing exceptional client service and upholding the highest ethical standards.
- Expected billable hours: approximately 1,650 annually (flexible arrangements may be considered).
- Competitive salary: $125,000 - $150,000, plus discretionary annual bonus.
