The Corporate Paralegal is responsible for providing support to the Finance, ETP and MACM practice

groups. The individual should be highly organized and extremely detail-oriented as well as someone who

is a self-starter and able to work with multiple attorneys.

Duties and Responsibilities

Primary

  • Coordinate closings and post-closing aspects of transaction (coordinate logistics of online and in person closings, prepare closing sets, and oversee E-Bible creation).
  • Liaise with corporate service providers for entity and intellectual property search requests.
  • Draft standard closing documents (receipts, officer’s certificates).
  • Prepare schedules and tables to agreements.
  • Prepare initial drafts of closing checklists.
  • Perform searches, prepare and track filings under the Uniform Commercial Code (using technology-based resources and outside service bureaus).
  • Ability to interpret UCC search results (including bankruptcy, judgment and lien searches).
  • Review and draft UCC-1 financing statements and UCC-3 financing statements.
  • Conduct definition checks, cross reference checks and editing of documents using applicable software.
  • Contact clients, attorneys, service organizations and other professionals in connection with transactions, with the approval of the supervising attorney.
  • Create databases, charts, graphs, tables, etc. for analysis of data.
  • Process invoices related to vendor services contracted on behalf of a client or attorney.
  • Prepare daily time entries and submit weekly overtime reports for services performed.
  • Work closely with attorneys to deliver the highest caliber of legal representation to our clients.
  • Draft deal documents for clients by conducting market research and incorporating economic terms.
  • Maintain detailed records of client deal history and assume responsibility for crucial administrative duties relating to those records.
  • Assist with company formations, mergers and acquisitions, dissolutions, and foreign qualifications in accordance with the rules of each state.
  • Understand local rules, practice and procedures and assist attorneys in understanding local practice in connection with case management.
  • Develop and maintain time records regarding billable hours spent on specific cases, review bills and prepare tracking files in connection with fee application preparation.
  • Assist in the legal due diligence process, including reviewing contracts and other due diligence materials, conducting public licensure, secretary of state and intellectual property searches, and coordinating with company’s outside counsel in respect of diligence review.
  • Assisting in the review and execution of various legal documents in connection with M&A transactions, including confidentiality agreements and other ancillary transaction agreements.
  • Manage outside counsel and internal business teams in connection with execution of transactions.
  • Assisting with the management of corporate structure, including management of equity matters.
  • Assist with a broad range of other corporate and legal matters, particularly in the area of corporate governance and commercial contracts, as and when required.
  • Conduct e-filing of pleadings with US Bankruptcy and US District Courts.
  • Communicate with clients, government agencies or officials, consultants and various other parties on a regular basis to collect and assemble information, communicate findings to attorneys.
  • Responsible for reviewing, tracking, and monitoring legislation that impacts the company’s products and/or processes.
  • Updating leadership with timely analysis and summaries of new legislation/regulations affecting the business.
  • Assists in implementing changes to contracts to comply with legislation/regulations.
  • Renewing and maintaining company licensing.
  • Drafting, filing and managing various business entity documents for corporations, LLCs and partnerships with State agencies.
  • Drafting legal contracts, correspondence and other documents. Submitting accurate legal documents in a timely manner.
  • Achieves billable hourly requirement set by the firm.

Secondary

  • Independently manage day-to-day workload while working under the general supervision of assigned attorneys.
  • Other duties as assigned.

Minimum Qualification

Education

  • Bachelor’s degree required; paralegal certificate preferred.

Experience

  • Minimum five years’ experience preferred.

Special Knowledge

  • Strong knowledge of the legal corporate space. Familiarity with fundamental finance, bankruptcy and M&A concepts.

Technical Skills

  • Technical expertise in full suite of Microsoft Office; ability to perform Internet-based searches.

Working Conditions

  • Job is performed in a typical office environment, but is subject to time pressures and constraints, and is often dependent on input from others.
  • Occasional overtime and travel may be required.

The full time base annual salary for this position in the Colorado market is expected to range between $125,000 - $135,000. Please note that the actual compensation may vary from posting based on geographic location, work experience, education and/or skill level. The posted salary is the range Vinson & Elkins in good faith believes to be the possible compensation for this role at the time of this posting. This range is only applicable for jobs to be performed in Colorado and may be modified in the future.
