What are the responsibilities and job description for the Corporate Paralegal position at Taylor Root?
Responsibilities:
- Maintain corporate records for all entities (both US and non-US) across the group, including bylaws, board resolutions and organizational documents.
- Assist with the entity formations, including drafting, preparing and filing of articles of incorporation, formation, obtaining EINs and organizing shareholder and board documentation, maintenance, management, and dissolution of US and non-US legal entities, including corporations, LLCs, and limited companies.
- Working closely with (a) corporate service providers to ensure compliance with US federal and state requirements and (b) other local territory providers to manage and maintain other non-US entities.
- Track key deadlines and filings, including annual reports and other regulatory obligations.
- Support equity and share based compensation administration in collaboration with the finance team.
- Assisting the finance and wider legal team respond to requests from investors and lenders.
- Support due diligence processes for financing, M&A and other corporate transactions.
- Support internal audits, financing compliance requests and reporting obligations.
- Ensure compliance with internal governance policies and external regulatory requirements.
- Maintain and update organizational charts for the group’s entities and other entity data.
Desired qualifications and requirements:
- Bachelor’s degree and/or paralegal certification from an ABA-approved program.
- Minimum of 4 years of experience as a corporate paralegal, preferably in a law firm or in-house legal department.
- Proficiency in US legal entity management, experience of and exposure to managing UK entities is desirable.
- Strong understanding of corporate governance, entity formation processes, and compliance requirements.
- Experience working with highly complex organizational structures.
- Experience of working with equity management software such as Carta or other similar software.
- Strong communication and drafting skills with the ability to work autonomously and reliably within tight timeframes.
- You will be methodical, have great attention to detail and take pride in moving work to completion.
- Experience working with Tax, Treasury, Accounting, Finance, M&A and other corporate functions is a plus.
