Commercial & Product Development Support
- Advise product development teams on legal considerations related to new product launches, enhancements, and lifecycle management.
- Draft, review, and negotiate a wide range of commercial agreements, including product supply agreements, licensing agreements, development agreements, NDAs, and technology‑related contracts.
- Partner with engineering, operations, and commercial teams to identify risks and provide practical, business‑oriented solutions.
- Support regulatory, compliance, and product‑specific requirements as applicable to new offerings.
Project / Program Legal Support
- Provide legal guidance for major projects, including project structuring, risk allocation, and contract strategy.
- Draft and negotiate project‑related agreements such as master service agreements, statements of work, procurement contracts, and vendor agreements.
- Support project managers and business units on change orders, claims, performance issues, and dispute avoidance.
- Ensure alignment with internal governance processes and risk‑management frameworks.
Mergers & Acquisitions
- Support the full lifecycle of M&A transactions, including due diligence, drafting and negotiating transaction documents, and coordinating closing and post‑closing integration.
- Collaborate with corporate development, finance, HR, and other stakeholders to ensure smooth execution of acquisitions, divestitures, and strategic investments.
- Assist with corporate governance matters, entity management, and board‑related documentation as needed.
General Corporate & Compliance
- Provide day‑to‑day legal support across the organization, including corporate governance, policy development, and compliance initiatives.
- Assist with internal investigations, regulatory inquiries, and compliance training.
- Manage relationships with external counsel as needed for specialized matters.
- Support continuous improvement of legal processes, templates, and playbooks.
Qualifications
- Juris Doctor (JD) from an accredited law school; active bar membership in good standing.
- 4–8 years of legal experience, ideally with a mix of law firm training and in‑house experience.
- Demonstrated experience in commercial contracting, project or operational legal support, and M&A transactions.
- Strong business acumen and ability to translate legal concepts into practical guidance.
- Excellent negotiation, drafting, and communication skills.
- Ability to manage multiple priorities and work cross‑functionally in a dynamic environment.
