About the Role
The Commercial & Privacy Counsel will own commercial contracting, privacy compliance, and product counseling, partnering cross-functionally with Product, Security, and GTM teams. The ideal candidate has experience at a high-growth SaaS company, deep knowledge of GDPR, CCPA/CPRA, and EU-US Data Privacy Framework, and strong business acumen supporting both vendor and sales-side transactions.
Key Responsibilities
Commercial Counsel

Draft, review, and negotiate a wide range of enterprise SaaS, vendor, partnership, and marketing agreements with a focus on closing deals efficiently.

Manage the full contracting lifecycle, ensuring consistency, accuracy, and compliance with data protection standards.

Collaborate with business development and sales teams to drive scalable contracting processes.
Privacy, Data Protection & Compliance

Serve as a subject matter expert on GDPR, CCPA/CPRA, and EU-US Data Privacy Framework, advising on data handling, cross-border transfers, and regulatory compliance.

Lead privacy-related reviews, including cookie policies, Do Not Sell notices, and DPA negotiations.

Partner with the security team on data protection, incident response, and compliance initiatives.

Maintain and enhance company alignment with SOC 2, ISO 27001, and AI governance best practices.
Product Counseling

Partner with product and engineering teams to embed privacy-by-design principles throughout the development lifecycle.

Review subprocessors, onboarding documentation, and public-facing policies to ensure legal and regulatory compliance.

Advise on product features, user consent flows, and data usage transparency.
Qualifications

JD and active U.S. bar membership required.

5 to 8 years of experience in commercial and privacy law, including time spent in-house at a B2B SaaS startup (Series BD).

Strong commercial contracting experience on both vendor and sales sides.

Deep expertise in GDPR, CCPA/CPRA, and data privacy frameworks.

Hands-on experience with product counseling and collaborating with security teams.

Familiarity with SOC 2, ISO 27001, and AI policy development.
