Attorney (Tax)

Stein Sperling is seeking an experienced and motivated Tax Attorney to join our Tax Practice Group. The ideal candidate will support and collaborate with our attorneys on a range of transactional business and tax matters, including entity selection and tax structuring for complex transactions such as mergers, acquisitions, and reorganizations. The role also includes advising on equity compensation arrangements and drafting, reviewing, and negotiating a variety of business and commercial agreements, including operating agreements, stockholder agreements, merger agreements, stock purchase agreements, and asset purchase agreements. Additionally, the attorney will research and advise on complex tax transactions, including multi-asset 1031 exchanges and the formation and implementation of opportunity zone funds.

Qualifications:

• Minimum of 3 years of relevant transactional experience at a reputable law firm.
• Excellent research, communication, and legal writing skills, with a high level of attention to detail.
• Demonstrated experience with S Corporations, LLCs, and Partnerships
• Familiarity with Section 409A of the Internal Revenue Code preferred.
• Licensed to practice law in Maryland, or eligible to sit for or waive into the Maryland Bar.
• CPA designation required, or willingness to obtain the designation within the first year of employment. The firm will reimburse testing costs for candidates pursuing the credentials.
• Valuation credentials such as ASA, CVA, or ABV are strongly preferred.
• LL.M. in Taxation preferred but not required.

This is an Exempt Position with an Annual Salary Range of $135,000 - $200,000
