Position Summary:
We are seeking a highly motivated Corporate Transactional Attorney with 2 to 5 years of experience to join our legal team. The ideal candidate will have a strong background in corporate law, including mergers and acquisitions, corporate governance, entity formation, and contract negotiation.
Key Responsibilities:
Draft, review, and negotiate a variety of commercial agreements, including NDAs, purchase agreements, and service contracts
Advise clients or internal stakeholders on corporate governance, compliance, and transactional matters
Support mergers, acquisitions, and other strategic business transactions
Conduct due diligence and coordinate with external advisors and internal departments
Stay updated on changes in laws and regulations affecting corporate transactions
Assist in the formation and structuring of entities, joint ventures, and partnerships
Qualifications:
J.D. from an accredited law school and current ability to practice law in Maryland and/or the ability to sit for the Maryland bar required; Virginia and DC bar recommended
2–5 years of experience in corporate transactional law at a law firm or in-house legal department
Strong knowledge of corporate law, M&A, and contract drafting/negotiation
Excellent analytical, communication, and organizational skills
Ability to manage multiple projects with attention to detail and deadlines
Client service orientation and a collaborative working style

This is an Exempt Position with an Annual Salary Range of $135,000 - $200,000
