Position Summary:
We are seeking a highly motivated Corporate Transactional Attorney with 2 to 5 years of experience to join our legal team. The ideal candidate will have a strong background in corporate law, including mergers and acquisitions, corporate governance, entity formation, and contract negotiation.

Key Responsibilities:

• Draft, review, and negotiate a variety of commercial agreements, including NDAs, purchase agreements, and service contracts

• Advise clients or internal stakeholders on corporate governance, compliance, and transactional matters

• Support mergers, acquisitions, and other strategic business transactions

• Conduct due diligence and coordinate with external advisors and internal departments

• Stay updated on changes in laws and regulations affecting corporate transactions

• Assist in the formation and structuring of entities, joint ventures, and partnerships

Qualifications:

• J.D. from an accredited law school and current ability to practice law in Maryland and/or the ability to sit for the Maryland bar required; Virginia and DC bar recommended

• 2–5 years of experience in corporate transactional law at a law firm or in-house legal department

• Strong knowledge of corporate law, M&A, and contract drafting/negotiation

• Excellent analytical, communication, and organizational skills

• Ability to manage multiple projects with attention to detail and deadlines

• Client service orientation and a collaborative working style

This is an Exempt Position with an Annual Salary Range of $135,000 - $200,000
