Our client in New York City is seeking an experienced Fund Formation Attorney with 5 to 8 years of experience. This role will lead and support the formation, structuring, and ongoing legal needs of our client's investment funds and related vehicles. The ideal candidate has deep experience in private fund formation.
Responsibilities:
- Lead and manage the formation of private investment funds
- Draft, review, and negotiate fund documentation, including:
- Limited Partnership Agreements (LPAs)
- Private Placement Memoranda (PPMs)
- Subscription documents and side letters
- Advise on fund structuring, regulatory considerations, and jurisdictional issues
- Coordinate with outside counsel on fund launches, closings, and regulatory filings
- Support investor negotiations and respond to investor legal diligence requests
- Provide ongoing legal support for existing funds, including amendments, restructurings, and new product launches
- Collaborate closely with investment, compliance, finance, and investor relations teams
- Monitor legal and regulatory developments impacting private funds
Qualifications:
- J.D. from an accredited law school; active New York bar membership in good standing
- 5–8 years of experience in private fund formation, gained at a top law firm and/or in-house at an asset manager
- Strong knowledge of private fund structures and market terms
