What are the responsibilities and job description for the Legal Counsel Leveraged Finance position at Sokol Associates Inc.?
Our client, an investment bank in New York City is looking for a Leveraged Finance Attorney with 3-6 years of big law experience. The attorney in this position will support the bank’s leveraged finance business by providing legal advice and transaction support for leveraged loans, high-yield bonds, and other financing structures used in mergers & acquisitions, recapitalizations, and corporate financings. The role works closely with bankers, credit teams, risk management, and external counsel to structure, document, and close complex financing transactions.
Key Tresponsibilities:
Transaction Support
- Provide legal guidance on leveraged loan, bridge loan, and high-yield bond transactions.
- Draft, review, and negotiate key financing documents, including:
- Credit agreements
- Commitment letters
- Term sheets
- Fee letters
- Intercreditor agreements
- Security and collateral documents
- Advise deal teams on legal structuring, covenant packages, collateral arrangements, and regulatory considerations.
Deal Execution:
- Coordinate with internal teams (investment bankers, syndicate, risk, credit, and operations) during transaction execution.
- Manage external law firms engaged on financing transactions.
- Assist with structuring financing for LBOs, acquisitions, refinancings, dividend recapitalizations, and restructurings
Qualifications:
Education
- Juris Doctor (JD) from an accredited law school.
- Admitted to practice in New York
Experience
- 3–6 years of experience in leveraged finance, banking law.
- Experience at a Big law firm or financial institution handling:
- Leveraged loans
- Syndicated credit facilities
- High-yield debt offerings

Salary : $225,000 - $275,000
