Simmons and Hanbury are partnering with a globally active investment platform who are seeking a Legal Counsel to lead and support fund formation, structuring, and related strategic initiatives across a diverse range of private market and liquid strategies in New York. This role operates at the intersection of legal, investment, and capital raising functions, providing commercially focused advice on complex fund structures and investor arrangements.
Key Responsibilities Include:
Fund Formation & Structuring
- Lead the legal structuring and formation of private investment funds across strategies including private equity, credit, real assets, and hedge funds.
- Advise on optimal jurisdictions (e.g., Delaware, Cayman Islands, Luxembourg) and appropriate vehicle types (e.g., LPs, LLCs, SPCs).
Documentation & Negotiation
- Draft, review, and negotiate core fund documentation such as Limited Partnership Agreements (LPAs), Subscription agreements, Side letters, Offering memoranda / PPMs
- Partner closely with investor relations and capital raising teams to address investor-specific requirements and negotiate bespoke terms.
Regulatory & Compliance
- Ensure compliance with applicable securities laws and regulatory regimes, including U.S. frameworks (e.g., Investment Advisers Act, Securities Act) and relevant offshore requirements.
Candidate Profile
- Qualified lawyer with experience in investment funds, asset management, or private markets.
- Strong technical expertise in fund structuring across multiple jurisdictions, with a minimum of four years experience in a top law firm or Investment firm.
- Experience advising on institutional investor negotiations and complex fund documentation.
- Commercially minded, with the ability to operate effectively in a fast-paced, collaborative environment.
