Key Responsibilities

Review and analyze private fund offering materials and fund governing documents

Advise clients on regulatory compliance matters relating to investment funds

Assist with SEC filings and regulatory reporting requirements

Support clients in SEC examinations and regulatory inquiries

Conduct research and provide guidance on federal securities laws and regulatory frameworks

Collaborate with transactional and regulatory teams on fundraising and fund-related transactions
Qualifications

1–3 years of investment funds regulatory experience at a global or top-tier law firm

Experience reviewing fund offering documents and governance materials

Strong familiarity with the Investment Advisers Act of 1940

Familiarity with the Investment Company Act of 1940 and Securities Act of 1933 preferred

Experience preparing SEC filings and responding to regulatory examinations

Strong analytical, research, and writing skills

Admission to the New York Bar required

Compensation
