Clayton, Missouri law firm’s Business, Real Estate & Corporate Transactions Group is seeking a 5 year corporate transactional associate to join their sophisticated and growing business practice.
This role is designed for an attorney currently practicing at a larger regional or national firm who is ready for more ownership, meaningful client relationships, and a clear path toward long-term growth within a high-performing transactional group.
The Practice
- Buy- and sell-side mergers and acquisitions
- Asset and stock purchase transactions
- Commercial real estate acquisitions, dispositions, leasing, and financing
- Corporate structuring and governance matters
- Strategic transactions from letter of intent through closing
We represent privately held businesses, developers, investors, and growth-oriented companies across industries.
What You’ll Do
This position is not limited to drafting support. You will:
- Lead significant portions of M&A transactions from diligence through closing
- Draft and negotiate core transaction documents (purchase agreements, operating agreements, shareholder agreements, LOIs, NDAs, financing documents)
- Advise clients on corporate governance and risk management
- Serve as primary or secondary client contact on transactions
- Coordinate with lenders, accountants, business advisors, and opposing counsel
- Mentor junior associates and contribute to team development
What We’re Looking For
- 5 years of corporate transactional and/or commercial real estate experience
- Demonstrated experience handling sophisticated M&A transactions
- Strong drafting and negotiation skills across complex deal documents
- Ability to independently manage deal workflow and timelines
- Commercial judgment and client-facing confidence
- Missouri licensure or eligibility for admission
