Paralegal

Boutique law firm has an immediate opening for a Corporate Paralegal! This law firm specializes in transactional legal support for emerging companies in the San Francisco Bay Area. As a Corporate Paralegal on our team, you'll be assisting with tasks such as document management, securities filings, and corporate governance, with a focus on startup-related matters. This position is 100% remote and can be part-time or full-time hours, depending on your availability and preferences. The ideal candidate will have at least 3-7 years of paralegal experience supporting corporate transactional attorneys in a law firm setting.

Responsibilities:

• Manage and organize legal documents, ensuring they are properly prepared for signatures and securely stored.

• Assist with securities filings related to equity plans, fundraising, and compliance requirements.

• Coordinate client intake processes, including preparing and sending engagement letters.

• Conduct basic due diligence activities to support transactions and corporate legal needs.

• Provide deal support by maintaining accurate records and facilitating smooth transaction processes.

• Update and maintain capitalization tables using tools like Carta, Google Sheets, or Pulley.

• Support the formation and dissolution of legal entities, ensuring compliance with corporate governance standards.

• Handle updates and uploads for large-scale document management projects as needed.

• Collaborate with the team during quarterly off-site meetings, if applicable.

• A minimum of 3 years of experience as a corporate paralegal, preferably in a law firm setting supporting the startup clients.

• Strong knowledge of corporate law, including entity formation, governance, and compliance.

• Proficiency in managing capitalization tables using systems such as Carta, Google Sheets, or Pulley.

• Familiarity with securities filings and fundraising processes.

• Ability to handle due diligence tasks with attention to detail and accuracy.

• Excellent organizational and document management skills.
