ABOUT THE ROLE:
A private Family Office in Kirkland/Bellevue Washington is seeking an Attorney, Corporate Counsel to join the Company’s growing internal legal team. This position is ideal for an individual able to exercise independent judgment advising on a wide range of legal matters, including drafting and negotiating commercial contracts, assisting with corporate governance and entity management, supporting the Company's investment teams, and assisting in developing and implementing legal and regulatory compliance programs. This role will provide legal support all with an emphasis on serving the diverse business needs across the company’s ecosystem.
CORE RESPONSIBILITES:
- Draft, review and negotiate a broad range of commercial contracts, including non-disclosure agreements, vendor agreements, licenses, corporate documents, and other business-related agreements.
- Work with outside counsel to provide general legal support to the Company’s investment teams, including conducting deal diligence and preparation and review of investment documents, purchase and sale agreements, loan documentation, and other relevant legal agreements.
- Research and analyze legal issues as requested by the Company’s General Counsel or other members of the Company’s management team.
- Prepare memos, documents, and correspondence of a confidential legal nature for the Company’s General Counsel, as well as for other internal parties.
- Work with the Company’s operational teams and outside counsel to provide ongoing legal support to the Company’s investment projects.
- Develop and maintain corporate governance and compliance across multiple entities, ensuring consistency in filings, minute books, and other documentation.
- Assist in the drafting, preparation, and maintenance of the Company’s regulatory filings, State Secretary filings, including with the SEC and other regulatory bodies inside and outside the United States.(for this we will have a dedicated compliance person)
- Work with internal resources to develop deliberate, organized, and efficient processes for the completion of necessary activities, programs, and processes.
- Support the General Counsel and outside counsel in the establishment of other entities, intellectual property matters, any litigation, and various legal matters.

QUALIFICATIONS & REQUIREMENTS
- Law degree from an American Bar Association accredited law school.
- Admitted to practice law in the State of Washington; with the ability to register as in-house counsel in Washington State.
- Must satisfy Minimum Continuing Legal Education (MCLE) requirements to maintain active license to practice law.
- Minimum 4 years’ relevant experience with a top-tier law firm or sophisticated in-house corporate legal department; preference given to candidates with strong legal background in private company transactions, real estate or investment management.
- Excellent computing skills including Microsoft 365 suite and Adobe; familiarity with transactional and financial modeling tools (such as Argus) preferred.
- Exceptional interpersonal, negotiation, communication and business writing skills.
- Ability to read and understand business plans and financial documents.
- Ability to travel as needed for diligence of investment opportunities and asset management of existing investments.
- Ability to interpret and navigate through complex legal documents and negotiate them towards defined business goals.
