Corporate Associate – Mergers & Acquisitions (2–8 Years)

A highly respected New York-based law firm is seeking a Corporate Associate with 2–8 years of experience to join its growing Mergers & Acquisitions and Corporate practice. This attorney will work directly with senior leadership on sophisticated M&A transactions representing both buyers and sellers across a variety of industries, while also advising clients on broader corporate and transactional matters.

Responsibilities
- Represent buyers and sellers in mergers, acquisitions, and other strategic transactions.
- Work on private equity-backed transactions, strategic acquisitions, and industry-specific deals.
- Draft, review, and negotiate transaction documents, including:
- Stock Purchase Agreements
- Asset Purchase Agreements
- Merger Agreements
- Operating Agreements
- Shareholder Agreements
- Investor Rights Agreements
- Ancillary transaction documents and related corporate materials
- Advise clients on entity formation, governance, compliance, and general corporate matters.
- Conduct legal research and analysis related to transactional and regulatory issues.
- Communicate directly with founders, executives, sponsors, investors, family offices, and other stakeholders.
- Assist in managing transactions from letter of intent through closing.
Qualifications
- Active admission and good standing with the New York Bar.
- 2–8 years of relevant M&A and corporate transactional experience.
- New Jersey admission is a plus.
- Strong drafting, negotiation, analytical, and project management skills.
- Ability to thrive in a collaborative, entrepreneurial, and fast-paced environment.
- Experience managing multiple matters simultaneously while maintaining exceptional client service.

Billable Expectations
