Responsibilities:
- Provide legal and transactional guidance to U.S.–based business teams involved in capital-raising, structured finance, and related credit solutions.
- Support work involving a range of structured products, such as asset-backed deals, collateralized loan structures, asset-based lending arrangements, and short- or long-term funding facilities.
- Offer secondary legal coverage to adjacent lending, financing, and advisory groups as needed.
- Draft, review, and negotiate transaction documents, disclosure materials, and other deal-related agreements.
- Advise on deal structuring, negotiations, and documentation strategy throughout the transaction lifecycle.
- Create, update, and manage internal legal and compliance frameworks, policies, and procedures.
- Contribute to the development of new products by advising on legal, structural, and regulatory considerations.
- Monitor and interpret regulatory or legal developments that affect relevant products and business activities.
- Develop and maintain standardized templates and provide training or informational sessions to internal teams.
- Collaborate with credit, tax, accounting, compliance, and other control groups on active transactions.
- Coordinate with colleagues in other offices on U.S.-related legal matters.
- Manage and oversee assignments handled by external counsel.
