MW Talent is representing a confidential, top-tier global law firm seeking a Life Sciences Transactions & Licensing Attorney to join its Technology Transactions - Life Sciences team.
About the RoleThis team supports emerging biotech companies, global pharmaceutical leaders, medical device innovators, research institutions, and digital health companies through all phases of discovery, development, commercialization, and exit.
The work includes high-impact licensing, collaborations, strategic partnerships, and complex cross-border transactions. Attorneys work closely with practice groups across IP, corporate, regulatory, and litigation, gaining exposure to a wide range of sophisticated matters.
ResponsibilitiesDraft and negotiate life sciences license agreements, collaboration agreements, and R&D contracts
Handle university and research institution licensing transactions
Draft and negotiate manufacturing, supply, commercialization, and distribution agreements
Assist with clinical trial agreements and work with contract research and manufacturing organizations
Conduct IP and commercial contract due diligence for corporate transactions including M&A, joint ventures, and venture financing
Advise on patent and technology licensing strategy, commercialization planning, and IP risk mitigation
Work directly with clients, in-house counsel, and counterparties in a fast-paced, deal-driven environment
Collaborate with multidisciplinary teams on complex transactions
J.D. from an accredited law school; must be from a top 30 U.S. law school and licensed in Massachusetts
3-6 years of relevant experience in life sciences transactions
Experience with regulatory, IP, and commercial issues unique to biotech/pharma
Exceptional drafting, analytical, negotiation, and communication skills
Ability to manage multiple client matters with strong responsiveness and attention to detail
Undergraduate or advanced degree in a life sciences field (preferred)
