Direct Counsel is representing a leading AmLaw firm seeking a Life Sciences & Tech Transactions Assoc/Counsel to join its Technology Transactions and Licensing Group in Boston. This role offers the opportunity to work on sophisticated, high-impact transactions for clients in the life sciences and technology sectors, including complex domestic and cross-border deals.
Key Responsibilities

Structure, draft, and negotiate complex IP and commercial agreements, including licensing, collaboration, distribution, SaaS/cloud, services, and development agreements

Advise clients on intellectual property rights and technology transactions, including support for life sciences M&A transactions

Collaborate with attorneys across corporate, IP, regulatory, and tax practices on multidisciplinary matters

Support joint ventures, strategic alliances, outsourcing, and licensing transactions

Provide strategic guidance to clients operating in highly regulated and innovation-driven industries
Qualifications

J.D. from an accredited law school with strong academic credentials

5–7 years of experience in technology transactions, IP licensing, or related commercial agreements

Experience working with life sciences companies or in related industries

Background in life sciences, medical training, or related technical field is a plus

Strong drafting, negotiation, analytical, and communication skills

Active bar membership in good standing in the applicable jurisdiction
