Direct Counsel is seeking a Transactional Tax Associate Attorney – Investment Funds to join a prestigious Am Law firm in Austin, TX; Chicago, IL; Los Angeles, CA; New York, NY; Palo Alto, CA; San Diego, CA; San Francisco, CA; or Washington, DC.
This is an outstanding opportunity for an attorney with 4-6 years of transactional tax experience to join a premier Investment Funds practice. The successful candidate will focus on sophisticated partnership tax matters, advising investment funds, private fund sponsors, and asset managers on fund formation, transactional structuring, and complex tax issues.
Responsibilities

Advise clients on partnership tax matters under Subchapter K of the Internal Revenue Code.

Structure and advise on tax aspects of investment fund formations and ongoing fund operations.

Counsel asset managers and investment funds on transactional tax issues.

Analyze and structure acquisitions, dispositions, restructurings, and other strategic transactions from a tax perspective.

Draft and review partnership agreements and other transaction documents involving complex tax considerations.

Collaborate with attorneys across investment funds, corporate, and finance practices to provide integrated legal solutions.
Qualifications

J.D. from an ABA-accredited law school.

Active membership in the state bar where the candidate will practice.

4-6 years of transactional tax experience.

Significant experience with Subchapter K partnership tax matters.

Experience advising investment funds, private equity funds, hedge funds, or other asset management clients.

Strong academic credentials and excellent analytical, drafting, and communication skills.

Previous law firm experience is preferred.
Compensation & Benefits

Salary: $260,000-$365,000, commensurate with experience and qualifications.
