Our client, a leading investment management firm, is seeking a Paralegal/ Legal Consultant to join their Legal & Compliance team. This role will focus on supporting the firm’s registered mutual funds and board governance processes under the Investment Company Act of 1940. The ideal candidate will have hands-on experience preparing materials for board meetings, maintaining corporate governance records, and assisting attorneys and senior paralegals in day-to-day legal operations.
- Responsibilities Include:Assist attorneys and senior legal staff with all aspects of Investment Company Act of 1940 matters.
- Draft, proof, and coordinate materials for board of directors and committee meetings, including agendas, resolutions, and minutes.
- Maintain and organize corporate records, fund documentation, and regulatory filings.
- Support the preparation and review of registration statements, proxy materials, and shareholder communications.
- Liaise with fund officers, board members, and external counsel to ensure timely execution of governance tasks.
- Help coordinate annual compliance reviews and filings with the SEC and other regulatory bodies.
- Assist with the implementation and documentation of fund governance policies and procedures.
- Provide general legal and administrative support across the mutual fund legal function.
- Requirements:3 years of paralegal experience within an asset management, mutual fund, or law firm setting.
- Strong knowledge of the Investment Company Act of 1940 and mutual fund structures.
- Experience preparing materials for board meetings and maintaining fund governance records.
- Proficiency in Microsoft Word, Excel, and Adobe Acrobat; familiarity with Diligent or Boardvantage a plus.
- Excellent organizational, communication, and attention-to-detail skills.
