Amartya Legal is hiring a Corporate Lawyer to manage end-to-end corporate and commercial transactions, contract drafting, compliance, and risk control. The role requires strong English communication, practical contract skills, and the ability to work in a fast-paced, multi-client environment with strict quality and documentation standards.
Eligibility
LLB/LLM (preferred). 2–3 years in corporate/transaction work. Excellent English drafting and negotiation skills. High integrity, attention to detail, and deadline discipline. Proactive attitude with the ability to work independently and the ability to handle multiple complex matters under pressure.
Responsibilities
- Draft, review, negotiate and finalize corporate/commercial agreements (NDAs, MoUs, service agreements, Joint Venture Agreements, Shareholder Agreement, Share Purchase Agreement, escrow, vendor, partnership, employment, IP).
- Prepare legal opinions, transaction notes, and structured client requirement summaries.
- Support due diligence, deal documentation, closing checklists, and post-closing compliances.
- Ensure compliance under Indian laws (Companies Act, Contract Act, FEMA basics, Stamp/Registration coordination, DPDP/IT compliance where applicable).
- Identify risks, propose mitigation clauses, and maintain internal clause libraries and templates.
- Coordinate with clients, founders, consultants, and internal teams for timely execution.
