A leading financial services organization is seeking a Senior Counsel, Transactions to support deal execution and provide legal oversight across a portfolio of investments. The role will focus on managing transactions from structuring through closing while advising on related legal matters post-close.

Key Responsibilities
Transaction Execution & Deal Leadership
- Lead the legal execution and closing of direct lending transactions, including drafting and negotiating credit agreements and related documentation
- Manage the full transaction lifecycle from structuring through closing in coordination with internal teams and external counsel
- Partner closely with investment professionals on underwriting, diligence, and deal structuring
Portfolio Management & Special Situations
- Advise on legal matters related to an existing loan portfolio, including amendments, waivers, and restructurings
- Monitor borrower compliance and address covenant breaches or other issues
- Develop and implement strategies for distressed investments, including workouts, recoveries, and insolvency-related proceedings
- Oversee outside counsel relationships, including scope management and legal spend
Operational & Legal Support
- Improve internal legal processes, templates, and documentation standards to support a high-volume deal environment
- Collaborate cross-functionally to ensure legal documentation aligns with business objectives
- Conduct legal research on secured lending and financing matters and provide recommendations to senior leadership
- Maintain knowledge of applicable legal and regulatory frameworks relevant to secured finance transactions
- Support special projects and broader legal initiatives as needed
Qualifications
- J.D. from an accredited law school with active bar membership in at least one U.S. jurisdiction
- 4 years as a transactional attorney with a focus on secured finance or lending transactions
- Experience drafting, reviewing, and negotiating credit agreements and related financing documents
- Working knowledge of legal principles governing secured lending
- Proven ability to manage multiple transactions and competing priorities in a fast-paced, deal-driven environment
- Strong business judgment with the ability to provide practical, solutions-oriented legal advice
- Excellent written and verbal communication skills across both legal and non-legal audiences
Salary : $175,000 - $215,000
