Overview
A global industrial and specialty chemicals organization is seeking a Securities & M&A Counsel to join its legal team. This position will support a broad range of corporate matters, including transactional work, corporate governance, securities compliance, and strategic business initiatives across an international footprint.
Key Responsibilities
- Advise on corporate governance matters and support interactions with executive leadership and governing bodies.
- Support the preparation, review, and coordination of periodic and current SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
- Assist with public company compliance, securities law matters, and preparation of regulatory filings and disclosures.
- Support domestic and international acquisitions, divestitures, joint ventures, and other strategic transactions.
- Conduct legal due diligence and help coordinate transaction execution from initial evaluation through post-closing integration.
- Draft, review, and negotiate a variety of transaction-related agreements and corporate documents.
- Partner with internal business teams on corporate finance initiatives and strategic growth projects.
- Manage relationships with external counsel and coordinate legal support across multiple jurisdictions.
Qualifications
- Juris Doctor from an accredited law school and active membership in good standing with a U.S. state bar.
- 4 years of experience in securities law, mergers and acquisitions, and corporate transactions.
- Expertise in SEC filings and related disclosures, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, the Securities Act of 1933, the Exchange Act of 1934, stock exchange rules, and related regulations.
Salary : $180,000
