Senior Counsel - Restructuring, Distressed Investments & Private Transactions

Our client, a well-established investment management platform, is seeking a Senior Counsel to join its in-house legal team. This is a unique opportunity for an attorney with a background in restructuring, distressed situations, workouts, bankruptcy-related transactions, or special situations investing to play a key role supporting the firm's private investment activities.

The position offers broad exposure across distressed investments, private company transactions, fund and SPV structuring, and strategic investment initiatives. This is a highly visible role that works closely with investment professionals and senior leadership, making it an excellent opportunity for someone who enjoys taking ownership of complex matters and operating in a fast-paced, deal-oriented environment.

Job Responsibilities:

• Lead execution on a variety of transactions including: restructuring, distressed investment, workout, recapitalization, and special situations
• Manage private company investments and corporate transactions from initial term sheet through closing
• Draft, review, and negotiate a variety of transaction documents
• Support the formation and ongoing structuring of investment vehicles
• Manage outside counsel across transactional, restructuring, cross-border, and strategic matters
• Contribute to the continued growth and development of the firm's private investment platform and related initiatives

Qualifications:

• J.D. from an accredited law school
• 5 years of legal expereince with restructuring, distressed situations or bankruptcy-related transactions
• Strong transactional experience
  
• Ability to manage multiple matters simultaneously
  
• Experience working with investment managers, private equity firms, private credit funds, hedge funds, or other alternative investment platforms
