Larson Maddox is partnering with a confidential, high-growth organization in the construction, restoration, and industrial services space to appoint an Associate General Counsel. This is a strategic legal leadership opportunity for an experienced attorney who thrives in a fast-paced, operationally complex environment and is looking to play a key role in shaping legal strategy across a multi-entity business.
The Associate General Counsel will work closely with the General Counsel to manage legal risk, oversee litigation matters, and provide practical, business-focused legal guidance across a broad range of corporate and operational issues. This role offers the opportunity to partner directly with senior leadership, collaborate with outside counsel, and support critical business initiatives including compliance, contract negotiation, dispute resolution, and corporate transactions.
Key Responsibilities
Legal Advisory & Commercial Support
- Provide legal counsel to internal stakeholders on a wide range of operational, regulatory, and corporate matters
- Review, draft, and negotiate complex commercial agreements, including client contracts, vendor agreements, NDAs, service agreements, and licensing documents
- Support the General Counsel in the management of corporate governance, legal policies, and company-wide compliance frameworks
- Conduct legal research, interpret statutes and regulations, and advise on legal developments impacting business operations
- Assist with mergers, acquisitions, corporate transactions, and related due diligence activities
Litigation Management
- Oversee active litigation matters handled by outside counsel, including case strategy, filings, discovery, and settlement discussions
- Partner with internal teams to collect information, respond to subpoenas, and prepare legal documentation
- Review legal budgets, monitor invoices, and assess performance of outside counsel and other legal service providers
Compliance & Risk Management
- Support enterprise-wide compliance initiatives, including licensing, regulatory filings, audits, and documentation standards
- Collaborate closely with the Risk function on insurance, liability, risk exposure, and regulatory matters
- Ensure legal risk assessments are appropriately integrated into major business decisions and strategic initiatives
- Help maintain strong legal process controls and documentation across multiple affiliated entities
Required Qualifications
- Juris Doctor (JD) from an accredited law school
- Active license to practice law in Texas, or ability to become licensed within a defined timeframe
- 7-10 years of legal experience, with significant in-house experience strongly preferred
- Strong background in commercial contracting, corporate governance, compliance, and regulatory matters
- Experience managing litigation and coordinating effectively with outside counsel
- Excellent drafting, negotiation, analytical, and problem-solving skills
- Strong communication skills, with the ability to translate complex legal issues for non-legal stakeholders
- Ability to manage multiple priorities and deadlines in a fast-paced environment
- Proficiency with legal technology, contract management tools, and Microsoft Office
Preferred Experience
- Experience supervising legal staff or leading operational processes within a legal department
- Industry experience in construction, restoration, industrial services, or a closely related field
- Familiarity with multi-entity business structures and operationally complex environments
