Job Responsibilities
- Lead and support the formation of investment funds, including drafting and reviewing fund documentation (e.g., offering documents, partnership agreements, subscription agreements).
- Advise internal stakeholders on legal and regulatory considerations related to fund structuring, including private funds and collective investment vehicles.
- Collaborate with business, compliance, and investment teams on new product development and strategic initiatives.
- Negotiate and manage agreements with third parties such as subadvisors, custodians, administrators, and other service providers.
- Provide legal guidance on matters related to asset management, ERISA, securities laws, and other applicable regulations.
- Assist with regulatory filings, compliance frameworks, and ongoing governance of investment vehicles.
- Support mergers, acquisitions, and strategic transactions involving fund platforms or assets.
- Stay current on industry trends, regulatory developments, and best practices, and advise the business accordingly.
Job Requirements
- Juris Doctor (JD) from an accredited law school and active bar admission in good standing.
- 4 years of experience in fund formation, investment management, or related financial services law (law firm or in-house experience preferred).
- ERISA experience required
- Strong experience drafting and negotiating fund-related documents and commercial agreements.
- Knowledge of securities laws, investment vehicles, and regulatory frameworks
- Proven ability to identify legal risks and provide practical, business-oriented solutions.
- Excellent communication, analytical, and organizational skills.
- Ability to work effectively in a fast-paced, collaborative environment and manage multiple priorities.
Salary : $250,000 - $350,000
