Job Description:
Direct Counsel is representing an AmLaw 100 firm seeking a Senior Private Fund Associate (5th–8th year) to join its premier Private Funds practice group. The ideal candidate will have extensive experience advising both established and emerging private fund sponsors in the formation, structuring, and ongoing operational matters of private investment funds. Candidates must have substantial experience working on behalf of both general partners (GPs) and limited partners (LPs).
Key Responsibilities:

Advise clients on the structuring, formation, and operation of private investment funds (e.g., private equity, venture capital, credit, real estate, and hedge funds).

Draft and negotiate fund formation documents and related agreements.

Provide counsel on regulatory and compliance matters.

Collaborate across practice groups, including tax, regulatory, and investment management teams, to support client needs.

Engage directly with clients and assume increasing levels of responsibility over time.
Qualifications:

5–8 years of experience in a top-tier law firm or in-house environment focusing on private fund formation.

Proven track record representing both GP and LP clients.

JD from an accredited U.S. law school and admission to practice in the jurisdiction of the office (or eligibility for admission).

Strong academic credentials and excellent communication, drafting, and negotiation skills.

Compensation & Benefits:
Base salary range is $365,000 to $435,000, aligned with the Cravath pay scale. Final compensation will be determined based on various factors, including candidate experience, expertise, market factors, and internal equity considerations.
