Corporate Associate Attorney

We are partnered with a premier mid-size full-service New England based firm, who are seeking to strengthen its Corporate practice by adding a Senior Associate in Hartford. This is an excellent opportunity to join a dynamic and sophisticated transactional practice, working closely with entrepreneurs and lower middle-market businesses on a broad range of corporate matters. Attorneys will benefit from significant hands-on responsibility, direct client exposure, and a collaborative, team-oriented environment with clear opportunities for long-term growth.

Key Requirements:

• J.D. from an ABA-approved law school and admission in good standing in the applicable jurisdiction
• 6 years of corporate transactional experience
• Strong experience representing entrepreneurs and privately held businesses
• Experience with lower middle-market acquisitions and general M&A transactions
• Experience advising on debt financings, commercial lending, or capital raises
• Strong due diligence, contract review, and negotiation experience
• Experience advising clients on corporate governance matters
• Ability to independently manage small to mid-sized matters and handle significant portions of larger, complex transactions
• Superior analytical, problem-solving, and communication skills
• Ability to thrive in an entrepreneurial, fast-paced, and collaborative environment

Key Responsibilities:

• Advise entrepreneurs, investors, and business owners on a wide range of corporate and transactional matters
• Lead and support lower middle-market acquisitions and other strategic transactions
• Draft, review, and negotiate transaction documents and commercial agreements
• Conduct and manage due diligence processes across sophisticated transactions
• Counsel clients on corporate governance and general business law matters
• Work closely with partners and clients to deliver practical and business-oriented legal advice
• Manage matters independently while collaborating effectively within lean deal teams
